Manatt Antitrust and Competition Partner Dylan Carson was quoted in a Global Competition Review article discussing the new Hart-Scott-Rodino (HSR) rules, which will require merging companies to report more details about their transaction to antitrust government agencies.
The materials required by the new rule include providing descriptions upfront of competitors, supply chains and other sought-after information, which may help enforcers more efficiently review. For example, by now requiring companies to disclose customers, they can view any overlaps in the initial stages, “rather than searching through documents and spending a lot of time trying to figure that out,” Carson said.
