Manatt’s Katherine Blair, partner in the firm’s capital markets practice, represented MedMen Enterprises Inc., a publicly traded national cannabis retailer, in its closing of two private offerings.
The first, an equity private offering that closed on February 16, included the sale of US$2.9 million of units consisting of Class B subordinate voting shares and warrants at a purchase price of US$0.3713 per unit, and a potential second tranche for an additional US$2.9 million.
The second private offering, which closed on March 18, included the sale of C$20 million units consisting of Class B subordinate voting shares and warrants at a purchase price of C$0.40 per unit. MedMen plans to use the proceeds of the deal to boost cultivation and increase manufacturing capacity to support its stores in Florida, fueling its strategic growth in what it has identified as a core market.
