Charles Trucios earned his professional law degree (Abogado) from the Pontificia Universidad Católica del Perú and is admitted to practice in the country of Perú. Prior to returning to the United States, he advised and counseled foreign investors in Perú dealing with corporate, foreign investment regulations and business-related matters for a boutique firm in Lima. Because of his knowledge of the civil law system common throughout Latin America and language abilities (he is fluent in English and Spanish), he brings a valuable perspective when handling business and corporate matters in multiple jurisdictions, in reviewing and drafting sophisticated legal documents (private and public documents), and while working closely with Latin American counsel and dealing with governmental authorities in Spanish. Additionally, he has:
- Advised and assisted clients with corporate start-ups, corporate governance and maintenance, dissolution and liquidation; involving sucursales (branch offices), sociedades anónimas (corporations), sociedades de responsabilidad limitada (limited liability companies), partnerships and joint ventures, mergers and acquisitions and other general business and cross-border transactional matters in Latin America, including working on foreign investment and regulatory issues in Perú, Argentina, Brazil, and Mexico.
- Reviewed and drafted agreements and contracts and other legal documents related to general business operations and activities (related to the manufacturing, product service, consumer goods (wholesale and retail), financial and real estate industries) for use and performance in Perú, Argentina, Mexico, and Uruguay.
- Worked and coordinated on employment, termination and separation issues and employee claims/disputes in Argentina, Brazil, Chile, Mexico, and Perú which involved mediation, conciliation, labor lawsuits and settlements.
- Assisted firm attorneys with business litigation matters involving discovery production and on-site review in Mexico and Guatemala.
He has also worked on civil law, corporate and cross-border matters between the United States and Europe, mainly with the United Kingdom, Holland, Germany, Spain and France.
As a member of the business unit of the firm, Charles is also involved in the formation, capitalization, reorganization and dissolution of corporations, S corporations, nonprofit corporations, LLCs, general partnerships, limited partnerships and LLPs in the United States, and is brought in during the early formation stages when U.S. in-bound transactions are involved, especially from Latin America. In addition, he has substantial experience in the implementation of domestic and international tax strategies, including handling of check-the-box elections and requesting benefits under U.S. tax treaties. Charles has obtained federal and state determination letters on behalf of nonprofit corporations as well.
