  • $1 billion acquisition of the Martinez refinery and its logistics assets from Shell Oil Products US. This refinery is located on an 860-acre site in Martinez, California, and combined with PBF’s existing Southern California refinery in Torrance.
  • Ground lease of approximately 60 acres in Torrance, California.
• The Macerich Company, a large shopping center real estate investment trust (REIT), in the financing, acquisition, disposition, management and development of regional shopping centers throughout the United States; sample financings include a $52 million senior secured refinancing, a $200 million senior secured refinancing, a $233 million senior secured refinancing, an $80 million securitized financing and a $325 million senior secured refinancing concurrent with a $20 million mezzanine loan.
• A national U.S. grocer in acquisitions, development, leasing and major real estate-related matters.
• Westfield, a large shopping center REIT, in:
  • Bids for long-term concessions at a major U.S. airport, including the successful defense of a protest brought by a losing bidder.
  • The development and negotiation of construction, architecture and consulting agreements.
• The Golden State Water Company, a major California utility company, in acquisition, leasing, easement and land dispute-related matters.
• A borrower in $180 million senior and junior debt facilities used for the leveraged acquisition of a major competitor.
• An entertainment company in the development and lease of mixed-use Las Vegas Strip venues, including retail, restaurant, concert theater and night club components.
• A life insurance company in a $195 million senior secured financing.
• Pacific Life Insurance Co. as lender in the $215.6 million acquisition financing of a lifestyle center in Las Vegas.

• A winning bidder in the negotiation, diligence review and financing of a long-term concession from a major U.S. airport.

Anita’s cannabis and CBD experience includes representation of:

• Mission Valley Bank on creating regulatory compliant agreements for use with their cannabis banking program.
• A major music artist with creating a new industry-specific brand and partnership, a licensing and cobranding deal with a vertically integrated cannabis company, and a cannabis marketing agreement with the celebrity’s branded marketing company.
• A prominent federally recognized Indian Nation, in creating and launching its entire recreational cannabis program, as well as advising the client on cannabis banking laws, development, security and testing, as well as negotiating bank pledge agreements and vendor agreements.
• A consortium of investors in connection with a $28 million secured financing of Acreage Holdings, Inc., a Canadian holdings company with a diverse portfolio of cannabis cultivation, processing and dispensing operations in the United States.
• A group of lenders in providing a $50 million, three-year secured revolving credit facility to Curaleaf Holdings, Inc., a leading medical and wellness cannabis operator in the United States.
