Represented a public company listed in Australia in its acquisition of a U.S. social media company.

Represented a Fortune 50 company in the acquisition of a pharmaceutical services company.

North American counsel for a German automobile manufacturer in its acquisition of an international motorcycle manufacturer.

Counseling and Advice

Advised startups, midsized companies and U.S. operations of foreign companies on a wide variety of operational issues, including employment, privacy, environmental, and distribution agreements and other contracts.

Advised a major Chinese mobile phone manufacturer on the structuring and operation of its U.S. business, including corporate structure, customer contracts, vendor contracts, vendor insolvency, distribution, regulatory compliance, antitrust and compensation issues.

Procurement and Outsourcing

Represented a major financial institution in negotiating, documenting and implementing strategic outsourcing transactions, including loyalty programs and other consumer-facing benefit programs. Matters included master service agreements, technology and software licensing agreements, software as a service (SaaS) and joint venture agreements.

Represented a major clothing manufacturer in outsourcing global logistics, including warehousing agreements in numerous jurisdictions in Asia and Europe.

Financing Transactions

Represented Rocket Lawyer, the digital legal services provider, in its major growth capital financing of $223 million led by Vista Credit Partners.
