Scott Johnson advises and assists clients with respect to the legal aspects of their business matters, including the formation, acquisition, operation and disposition of sole proprietorships, joint ventures, partnerships, limited liability companies and corporations, and the preparation of entity governance documentation as well as transactional, commercial and employment contracts necessary or appropriate for a transaction or for the ongoing conduct of business. He also advises and assists clients, including institutional investors, in the preparation and negotiation of private equity investment documentation, and he advises and assists individual clients in business succession planning and in the formation and operation of family limited partnerships.
Scott advises clients in connection with planning for the federal, state and local tax consequences of their personal, partnership and corporate transactions and activities, including the formation, acquisition, expansion or disposition of a business, tax-deferred exchanges of real estate, and compensation arrangements. He represents clients in matters of income, sales, and employment tax controversies before the Internal Revenue Service, Franchise Tax Board, State Board of Equalization and Employment Development Department.
