    Profile

    Cristián Vallejo’s practice focuses on both financial restructuring and finance and corporate transactions with particularly experience in cross border transactions. His experience includes: representation of lenders and investors in corporate finance transactions of all types; representation of clients in connection with the start-up and acquisition of companies throughout the US and Latin America; representation of clients in connection with the development and financing of large energy and other infrastructure projects throughout Latin America; representation of bondholders, lenders, servicers and other creditors in connection with financial restructuring and workouts, involving multiple jurisdictions, of US and Latin American based companies with significant US dollar-denominated debt; representation of institutional lenders and other creditors and investors in financial restructuring transactions with particular emphasis in commercial real estate and technology/venture capital areas; representation of buyers in purchasing assets from distressed sellers both in bankruptcy proceedings (section 363 sales) and other insolvency proceedings (including assignments for the benefit of creditors) as well as out of court distressed sale and other distressed transaction situations; and representation of lenders in connection with financing to Chapter 11 debtors and in other distressed situations.  

    Mr. Vallejo served for several years as in-house legal counsel for a major Chilean energy company active throughout Latin America, with particular experience in countries such as Argentina, Brazil, Chile, Colombia, The Dominican Republic and Peru. In addition to providing advice in connection with general corporate, energy, environmental, regulatory, labor, project development, acquisition of assets, procurement and litigation matters, Mr. Vallejo led such company’s participation in several privatizations throughout Latin America as well as in negotiating and preparing project and credit documentation for various large non and limited recourse project financings.

    Mr. Vallejo serves as co-editor of the firm's Cross Border Transactions Newsletter.

    • Representation of ad hoc committee of bondholders in connection with the debt and corporate restructuring of a Dominican Republic telecommunication company. 
    • Representation of largest creditor of a Mexican homebuilder in connection with the restructuring of such homebuilder’s US dollar denominated debt. 
    • Representation of US creditor of a Chilean company in connection with the restructuring of such company’s US dollar denominated debt. 
    • Representation of bondholders in connection with default in Dominican sovereign debt. 
    •  Representation of Mexican company in connection with such company's entry into a Credit Facility. 
    •  Representation of US based company in connection with the provision and financing of port security and port infrastructure upgrades in Mexico and elsewhere in Latin America. 
    • Representation of U.S. Major League Soccer in respect of entry of Mexican team into U.S. league. 
    • Representation of major Japanese company in connection with the acquisition of a Chilean company. 
    • Representation of major Chilean company in connection with such company's acquisition of second largest hydroelectric company in Colombia. 
    • Representation of major Chilean company in connection with such company’s acquisition of a coal concession in Colombia. 
    • Representation of a major Chilean company in connection with the development, construction and financing of a natural gas pipeline and related gas distribution and electric generation facilities.
