    Profile

    Mr. Rosen is a partner in the firm's Corporate & Finance practice group and is located in Manatt's Los Angeles office. He has a broad finance practice with a particular focus on acquisition financings, international financings, dividend recapitalizations, first and second lien financings, mezzanine financings, asset-based lending, debt buybacks, refinancings, and amend to extend transactions. Mr. Rosen regularly represents financial institutions and private equity firms, as well as companies in connection with their ongoing financing needs. Prior to joining Manatt, Mr. Rosen practiced at Latham & Watkins in Los Angeles. He also previously worked for UBS Investment Bank in Tokyo, first in its investment banking department executing UBS's equity mandates and then as a director in its Transactions Legal Department. He has also practiced law in New York and Hong Kong.

    Representative Matters

    • Represented Hanley Wood, a portfolio company of Oaktree Capital Management, in a $105 million first and second lien financing.
    • Represented The Gores Group in connection with (a) a $35 million loan to a distressed borrower and (b) a €200 million secured bond financing by a portfolio company and related €40 million revolving credit facility.
    • Represented Ares Management in establishing its revolving credit facility.
    • Represented Credit Suisse in the $1.115 billion bank financing for Golden Gate Capital's acquisition of Lawson Software.
    • Represented Wells Fargo in the $1.135 billion bank refinancing of Six Flags Theme Parks' credit facility.
    • Represented JPMorgan in a $1.1 billion bank financing and multitranche amend to extend amendment for Bucyrus' acquisition of Terex.
    • Represented Wells Fargo in connection with the refinancing and further amending and restating of VCA Antech's credit facility.
    • Represented UBS in the $144 million exit financing for Stallion Oilfield Services as Stallion emerged from bankruptcy.
    • Represented UBS in the $250 million ABL and 2nd lien bank financing for Wellspring's acquisition of JW Aluminum.
