    Profile

    Mr. Salis provides counsel in the firm’s Real Estate and Land Use Practice Group. Mr. Salis brings over 20 years of experience to his practice as a transactional real estate attorney, combining his skills as a legal practitioner with practical experience in the real estate industry obtained from his years outside of the practice of law. His work experience spans the gamut of the real estate life cycle, having served as an acquisitions manager, special assets loan officer, REO portfolio manager and managing partner of a syndicate that owned and managed a portfolio of shopping centers located in Southern California.

    His skills and experience enable Mr. Salis to advise his clients on a wide range of real estate matters, including:

    • Standard commercial real estate transactions, including leases, purchases and sales.
    • New commercial developments, including site acquisition and due diligence, subdivision and entitlements, preparation of CC&Rs and negotiation of construction financing and related documentation. 
    • Representation of financial institutions in construction and permanent loan originations, workouts, receiverships and nonjudicial foreclosures.
    • Environmental risk management, including use of indemnifications and insurance as risk allocation tools.
    • Formation of affordable housing programs, including negotiation of affordable housing agreements and related documents.
    • Joint ventures and new company formation.
    • Partnership workouts and dissolutions.
    • Distressed asset transactions, including purchase and sale of individual notes and note portfolios.
    • Negotiation of telecommunications leases.

    Mr. Salis is also a leading practitioner in the burgeoning field of healthcare real estate and has been involved in numerous transactions involving the leasing, purchasing, selling and financing of healthcare facilities, including hospitals and skilled nursing facilities.  Mr. Salis is also frequently consulted on so-called “hospital-in-hospital” transactions involving outsourced healthcare services such as long-term acute care units, skilled nursing units and radiology departments.

    Prior to joining Manatt, Mr. Salis was a real estate partner at Buchalter, Nemer, Fields & Younger.  He also previously served as a Senior Asset Manager with Archon Group, a wholly owned subsidiary of Goldman, Sachs & Company, where he managed a residential and commercial real estate portfolio of both debt and equity assets.

    Representative Matters

    Commercial Real Estate
    Handled all leasing and development work for “90,000-square-foot” anchored retail center.  Legal work included assisting developer in assembling five different parcels and executing simultaneous land swaps with CalTrans and City of Chino Hills.

    Negotiated and closed acquisition of $120 million portfolio of office buildings located in Sacramento, California.

    Represented national owner of cell site locations in restructuring various cell site leases in California.

    Negotiated workout of participated credit facility secured by golf course development in Tucson, Arizona.

    Negotiated workout of securitized loan secured by retail center in San Diego, California.

    Residential Real Estate
    Negotiated and closed sales of finished residential lots to merchant builders for “500-plus-lot” master-planned community in the West San Fernando Valley.

    Represented sponsor in assembling land for entitlement of 123-lot residential subdivision in Inland Empire, including preparation of operating agreement and entitlement work.

    Represented national bank in documenting a $30 million revolving construction loan facility for San Diego-based homebuilder.

    Healthcare
    Represented national healthcare operator in acquisition of seven skilled nursing facilities throughout California.

    Negotiated master lease of nine skilled nursing facilities in Indiana, Illinois, Ohio and Nevada.

    Represented national healthcare REIT in sale of five hospitals and a long-term acute care facility located in Southern California.

    Partnership
    Prepared joint venture agreement between New York hedge fund and local sponsor for acquisition of shopping center in Diamond Bar, California.

    Represented three real estate partnerships in workouts with original general partner, including negotiations with partnership creditors and investors in other affiliated partnerships.

    Documented partnership dissolution of real estate investment company involving “drop and swap” 1031 exchanges for its members.

    Environmental
    Negotiated complex environmental remediation agreement between buyer and seller involving land in Newport Beach, California.

    Represented major oil company in negotiating sale of contaminated former retail gas station sites.
