    Profile

    Ms. Becker's practice focuses on mergers and acquisitions, securities, public and private equity offerings and general corporate representation of clients.  Ms. Becker performs services for a full range of clients, from closely held concerns to exchange-listed companies, as well as investment banks, institutional investors and financial advisors.  In addition, Ms. Becker advises clients and their boards of directors with respect to corporate governance and corporate strategy.

    Ms. Becker's public company representation includes matters relating to federal securities laws under the Securities Act of 1933, the Securities Exchange Act of 1934, and the JOBS Act, as well as state securities laws. 

    Ms. Becker serves on the Executive Committee of the California Coast Venture Forum, an organization whose mission is to mentor, advise and promote growing companies in markets in California. Ms. Becker also serves on the Executive Committee of the California Capital Summit, an organization that brings together entrepreneurs, business executives and capital providers.

    Ms. Becker is actively involved in civic organizations within the Los Angeles area.  She serves on the Board of Directors of Operation Hope, Inc., a non-profit organization that promotes financial literacy and as a mentor for middle school-aged girls through Mentoring Our Students Through Experience (MOSTE), a non-profit organization.  Ms. Becker is also actively involved in the Holocaust reparations project through Bet Tzedek, a non-profit legal services organization. Ms. Becker recently served as General Counsel of the Los Angeles Conservation Corps, a Los Angeles-based non-profit that provides at-risk youths and young adults with opportunities for success through job training and education with an emphasis on conservation projects.

    CVB Financial Corp. - Represented issuer in a $130 million underwritten public offering of common stock.

    Center Financial Corp. - Represented investment bank in a $73.5 million best efforts private placement of convertible preferred stock.

    East West Bancorp, Inc. - Represented issuer in a $70 million public offering of common stock.

    Shopoff Properties Trust, Inc. - Represented issuer in a $200 million initial public offering of a real estate investment trust.

    Central Pacific Financial Corp. - Represented underwriter in a $100 million public offering of common stock.

    City National Bancorp - Represented underwriter in a $125 million public offering of common stock.

    Preferred Bank - Represented issuer in a $17 million shareholder rights offering.

    M&A Transactions

    East West Bancorp, Inc. - Represented buyer in its FDIC-assisted acquisition of $10.4 billion-asset United Commercial Bank.

    CVB Financial Corp. - Represented buyer in its FDIC-assisted acquisition of $775 million-asset San Joaquin Bank.

    East West Bancorp, Inc. - Represented buyer in its $142.7 million acquisition of Desert Community Bank.

    East West Bancorp, Inc. - Represented buyer in its $200 million acquisition of Standard Bank.

    CVB Financial Corp. - Represented buyer in its $35 million acquisition of First Coastal Bancshares and its subsidiary bank, First Coastal Bank.

    East West Bancorp, Inc. - Represented buyer in its $178 million acquisition of United National Bancorp and its subsidiary United National Bank.

    CVB Financial Corp. - Represented buyer in its $27 million acquisition of Granite State Bank.

    Encino State Bank - Represented seller in its $33 million acquisition by Boston Private Financial Holdings, Inc., parent company of First Private Bank.

    CVB Financial Corp. - Represented buyer in its $15.5 million acquisition of Kaweah National Bank.

    Family Savings Bank, F.S.B. - Represented seller in its acquisition by One United Bank.

    CVB Financial Corp. - Represented buyer in its $7 million acquisition of Western Security Bancorp and its subsidiary bank, Western Security Bank.

    First Charter Bank, National Association -  Represented seller in its acquisition by PacWest.

    Founders National Bank of Los Angeles, N.A. - Represented seller in its acquisition by One United Bank.

    Marburger Packing, Inc. - Represented seller in its sale of a $33 million meat packing business to a ConAgra subsidiary.

    Represented a large multinational auto parts manufacturer in its bid to acquire the European and North American assets of another multinational auto parts manufacturer.
